Acceptance of Terms

These Terms and Conditions ("Terms") constitute a legally binding agreement between VeritasHire ("Company", "we", "us", or "our") and any individual or entity ("Client", "you", or "your") that accesses our website at veritashire.com, books a consultation call, or engages our services.

By booking a call, signing a service agreement, or making any payment to VeritasHire, you confirm that you have read, understood, and agree to be bound by these Terms. If you do not agree, you must not use our services.

These Terms apply in addition to any separate engagement letter or service agreement signed between you and VeritasHire. In case of conflict, the signed service agreement shall prevail.

Description of Services

VeritasHire provides a Hire-to-Own Offshore Virtual Assistant (VA) System, which includes:

  • Sourcing, screening, and shortlisting Indian-based virtual assistant candidates;
  • A structured 90-day incubation period comprising onboarding, daily standup oversight, Fathom AI meeting monitoring, and fortnightly founder check-ins;
  • One free VA replacement during the incubation period (subject to the conditions in Section 6);
  • A formal transition and buyout process at the end of the incubation period; and
  • An optional post-buyout light retainer (as agreed separately).

We reserve the right to modify, suspend, or discontinue any aspect of our services at any time with reasonable prior notice to active Clients.

Eligibility

Our services are available to businesses and individuals who:

  • Are at least 18 years of age;
  • Have the legal authority to enter into a binding contract on behalf of themselves or their organisation; and
  • Are not located in any jurisdiction where such services are prohibited by applicable law.

VeritasHire reserves the right to decline service to any prospective Client at its sole discretion, including where the proposed role is deemed unsuitable at the qualification call stage.

Fees, Payment & Invoicing

The following fee structure applies unless otherwise specified in a signed engagement letter:

  • Month 1: Invoiced in full upon signing. Candidate sourcing begins only upon receipt of cleared payment.
  • Months 2 & 3: Invoiced 5 business days before each period commences.
  • Buyout Fee: Invoiced at Day 75 of the incubation period; due by Day 80 and payable before the formal transition call takes place.
  • Optional Retainer: Invoiced monthly in advance if engaged.

All invoices are payable within 5 business days of issuance unless otherwise agreed in writing. Late payment beyond 10 business days may result in suspension of services. VeritasHire reserves the right to charge interest on overdue amounts at 1.5% per month or the maximum rate permitted under applicable Indian law, whichever is lower.

All prices are exclusive of applicable taxes. Clients outside India are responsible for any withholding taxes, bank transfer fees, or currency conversion costs incurred on their end.

Refund & Cancellation Policy

Pre-sourcing cancellation: If you cancel in writing within 24 hours of your Month 1 invoice being paid and before any candidate sourcing has commenced, we will refund 100% of Month 1 fees.

Post-sourcing cancellation: Once candidate sourcing has begun, Month 1 fees are non-refundable, as substantial time and resources have been committed.

Cancellation during incubation (Months 2–3): You may cancel with 10 business days' written notice. No refunds will be issued for any period already invoiced and paid. Outstanding invoices remain due.

Buyout fee: Non-refundable once paid.

VeritasHire does not guarantee any specific business outcome, revenue increase, or productivity improvement as a result of engaging a VA. Refund eligibility is strictly as stated above.

Replacement Guarantee

One (1) free VA replacement is included within the 90-day incubation period, subject to the following conditions:

  • The replacement request must be submitted in writing with a clear explanation of the performance or fit concern;
  • VeritasHire must be given at least 5 business days to assess the situation before a replacement is initiated;
  • The replacement guarantee is void if the Client materially changed the role scope, failed to provide a structured standup environment, or acted in a manner that contributed to the VA's underperformance;
  • Replacement sourcing will commence within 5 business days of approval; and
  • The 90-day incubation clock does not reset following a replacement.

The replacement guarantee applies once per engagement. A second replacement, if required, may be arranged at an additional cost to be agreed in writing.

Employment Relationship & Buyout

During the 90-day incubation period, the VA is engaged by VeritasHire or a related entity as a contractor or employee for oversight purposes. The Client does not hold an employment relationship with the VA during this period.

Upon payment of the buyout fee and completion of the transition process:

  • The VA's working relationship transfers directly to the Client;
  • The Client becomes solely responsible for compliance with all applicable labour, tax, and employment laws in their own jurisdiction and in India;
  • VeritasHire bears no liability for any employment, tax, or statutory obligations arising after the transition date; and
  • The Client agrees to engage and compensate the VA in a lawful manner.

VeritasHire makes no representation that any particular employment structure (contractor vs. employee) is compliant with the Client's local laws. The Client is strongly advised to seek independent legal and tax advice before completing the buyout.

Confidentiality

Both parties agree to keep confidential any proprietary or non-public information disclosed by the other party in connection with the services ("Confidential Information"), including but not limited to business processes, financial information, client lists, and operational data.

Confidential Information does not include information that: (a) is or becomes publicly available through no fault of the receiving party; (b) was already known to the receiving party; (c) is independently developed without reference to the disclosing party's information; or (d) is required to be disclosed by law or court order, with prompt prior notice given where legally permissible.

This confidentiality obligation survives termination of the engagement for a period of two (2) years.

Intellectual Property

All content on the VeritasHire website — including text, graphics, methodology documentation, and branding — is the exclusive property of VeritasHire and is protected under applicable Indian intellectual property laws.

Work product created by the VA on behalf of the Client during the incubation period shall, as between VeritasHire and the Client, vest in the Client, provided that all fees have been paid in full. VeritasHire makes no independent claim to work product created exclusively for the Client's business.

The Client may not reproduce, distribute, or commercially exploit VeritasHire's proprietary methodology, frameworks, or branded materials without prior written consent.

Data Protection & Privacy

VeritasHire processes personal data in accordance with applicable Indian data protection law, including the Digital Personal Data Protection Act, 2023 (DPDPA), to the extent it applies to our operations.

By engaging our services, you consent to our collection and use of business contact information, meeting transcripts (via Fathom AI), and related operational data for the purposes of service delivery, performance monitoring, and communication.

We do not sell personal data to third parties. Meeting transcripts and associated data are handled in accordance with Fathom AI's own privacy and data policies. Clients are responsible for notifying their own personnel and VAs of any recording that occurs during standups.

Disclaimers & Warranties

VeritasHire provides its services on an "as is" and "as available" basis. To the fullest extent permitted by applicable law, we disclaim all warranties, express or implied, including but not limited to:

  • Any guarantee that a VA will meet the Client's specific performance expectations;
  • Any guarantee of uninterrupted or error-free service delivery;
  • Any warranty that the VA sourced will remain in the role following the buyout; and
  • Any warranty regarding the suitability of any particular employment structure under the Client's local laws.

VeritasHire is not responsible for any technical issues arising from third-party platforms including Fathom AI, Calendly, or payment processors.

Limitation of Liability

To the maximum extent permitted by applicable Indian law, VeritasHire's total aggregate liability to any Client — whether in contract, tort (including negligence), breach of statutory duty, or otherwise — shall not exceed INR 10,000 (approximately USD 120), regardless of the nature or cause of the claim.

In no event shall VeritasHire be liable for:

  • Loss of profits, revenue, or anticipated savings;
  • Loss of business, contracts, or opportunities;
  • Any indirect, consequential, special, or punitive damages; or
  • Any loss arising from the Client's post-buyout employment relationship with the VA.

Nothing in these Terms excludes liability for death or personal injury caused by negligence, fraud, or any other liability that cannot be excluded by law.

Indemnification

The Client agrees to indemnify, defend, and hold harmless VeritasHire and its directors, employees, and agents from and against any claims, damages, losses, costs, and expenses (including reasonable legal fees) arising out of or related to:

  • The Client's breach of these Terms;
  • The Client's use of the services in violation of any applicable law;
  • Any employment, tax, or statutory claims brought against VeritasHire by the VA following the buyout transition; or
  • Any misrepresentation made by the Client in the course of engaging our services.

Governing Law & Dispute Resolution

These Terms and any disputes arising out of or in connection with them shall be governed by and construed in accordance with the laws of India, without regard to its conflict of law principles.

Negotiation

In the event of a dispute, the parties shall first attempt to resolve the matter through good-faith negotiation within 30 days of one party notifying the other in writing.

Arbitration

If negotiation fails, the dispute shall be referred to and finally resolved by arbitration under the Arbitration and Conciliation Act, 1996 (as amended), with a sole arbitrator mutually agreed upon by both parties. The seat of arbitration shall be India, and proceedings shall be conducted in English.

Jurisdiction

Subject to the arbitration clause above, the courts of India shall have exclusive jurisdiction over any matters not subject to arbitration.

Amendments

VeritasHire reserves the right to update or modify these Terms at any time. We will notify active Clients of material changes via email or by posting an updated version on this page with a revised effective date.

Your continued use of our services following any change constitutes acceptance of the updated Terms. If you do not agree with any modification, you must notify us in writing and discontinue use of our services.

Non-Circumvention

16.01

The Client agrees that during the incubation period and for a period of 24 months following the termination or expiry of any engagement with VeritasHire, neither the Client nor any of its affiliates, directors, or representatives shall directly or indirectly solicit, engage, contract with, or employ any VA introduced by VeritasHire, except through a formal buyout completed in accordance with these Terms.

16.02

Similarly, any VA placed by VeritasHire is bound by equivalent obligations through their own engagement terms. If a VA independently approaches a Client — or vice versa — to establish a working relationship outside of VeritasHire's process, both parties shall be jointly and severally liable under this clause.

16.03

In the event of a breach of this clause, the breaching party (Client, VA, or both) shall pay VeritasHire liquidated damages of USD 7,500, which the parties agree is a genuine pre-estimate of loss and not a penalty. This amount is in addition to, and not in lieu of, any other remedies available to VeritasHire.

16.04

VeritasHire reserves the right to seek injunctive relief in addition to liquidated damages where a breach is ongoing or threatened.
